Customer Terms of Use for Tropecart.com

Welcome to Tropecart.com (“Tropecart” or “the Platform”). By creating an account, browsing, or purchasing items on Tropecart, you agree to these Customer Terms of Use (“Terms”). This is a legally binding agreement between you (“Customer” or “User”) and Tropecart.com.
1. Use of the Platform
1.1 Eligibility
You must be at least 18 years old, or of legal age in your jurisdiction, to use Tropecart. By using the Platform, you confirm that you meet this eligibility requirement.
1.2 Account Registration and Security
To access certain features of Tropecart, such as purchasing products, you may need to create an account. You agree to provide accurate information, keep your account information secure, and update your details as necessary. You are responsible for maintaining the confidentiality of your login credentials and for any activities that occur under your account.
1.3 Right to Purchase
Customers are permitted to purchase any quantity of items available on Tropecart, subject to availability and any applicable limitations by Vendors. Tropecart may place purchase restrictions to ensure fair access for all Customers or at the Vendor’s discretion.
2. Orders, Payment, and Shipping
2.1 Order Acceptance
Your order is considered an offer to purchase the product(s) listed, and Tropecart reserves the right to accept or decline your order at our sole discretion. If an order is canceled or cannot be fulfilled, Tropecart will notify you and issue a refund if any payment has been processed.
2.2 Pricing and Payment
Prices for items on Tropecart may vary. All prices are in [currency], and any applicable taxes, fees, or charges will be displayed at checkout. Payments are processed through approved third-party providers, and by purchasing on Tropecart, you agree to pay the total amount as calculated at checkout.
2.3 Shipping and Delivery
Shipping and delivery timelines are provided as estimates only and are managed by individual Vendors. Tropecart does not guarantee specific delivery times, as they depend on factors outside of Tropecart’s control. Tropecart is not responsible for any delays in shipping but will work with the Vendor to resolve delivery issues if they arise.
2.4 International Orders
Certain products may not be available for shipping to all locations. International Customers are responsible for ensuring the legality of imported items and for paying any customs duties, taxes, or additional fees associated with international shipping.
3. Returns, Refunds, and Customer Service
3.1 Return Policy
Tropecart aims to offer clear and fair return policies for each product. Return eligibility varies depending on the product category, Vendor policy, and item condition. Non-returnable items include, but are not limited to, digital downloads, certain personal care items, and perishable goods. Refunds will be processed once the item has been received by the Vendor in its original condition. See our Return & Refund Policy for further information.
3.2 Defective or Incorrect Items
If you receive an item that is defective or does not match the description, please contact Tropecart customer support. Tropecart will work with the Vendor to facilitate a return, exchange, or refund.
3.3 Refunds for Digital Products
Due to the nature of digital goods, refunds for digital items may be issued only in cases where the product is defective or inaccessible. For other issues, Tropecart reserves the right to investigate refund claims on a case-by-case basis.
4. Platform Conduct and Restrictions
4.1 Prohibited Activities
Customers are expected to use the Platform responsibly. Prohibited activities include, but are not limited to:
- Engaging in fraudulent transactions or false claims.
- Misrepresenting identity, impersonating others, or creating multiple accounts.
- Using abusive or harassing language in communications with Vendors or Tropecart representatives.
- Uploading malware, viruses, or other harmful software to the Platform.
- Attempting to gain unauthorized access to any part of the Platform or compromising the security of Tropecart’s systems.
4.2 Customer Reviews
Customer feedback and reviews are encouraged but should be honest and respectful. Tropecart reserves the right to moderate, edit, or remove reviews that violate Tropecart’s policies or include inappropriate, false, or misleading content.
5. Intellectual Property
5.1 Platform Content
All content on Tropecart, including trademarks, text, images, graphics, and software, is the property of Tropecart or its licensors and is protected by intellectual property laws. You may not copy, reproduce, or use any Tropecart content without permission.
5.2 User Content License
By posting content on Tropecart, such as reviews, you grant Tropecart a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, publish, and display this content in any medium, in connection with Tropecart’s operations.
6. Limitation of Liability
6.1 Product Liability
Tropecart is a marketplace that facilitates transactions between Customers and third-party Vendors. As such, Tropecart does not manufacture, control, or endorse any products sold on the Platform. Tropecart disclaims all express or implied warranties regarding product quality, safety, fitness for a particular purpose, and compliance with legal standards.
6.2 Vendor Responsibility
Vendors are solely responsible for the products they sell, including ensuring accurate descriptions, complying with legal and regulatory requirements, and resolving customer complaints. Tropecart is not liable for any damages, injuries, or losses caused by products sold on the Platform.
6.3 Platform Use and Liability Limitation
To the fullest extent permitted by law, Tropecart is not liable for any direct, indirect, incidental, punitive, or consequential damages resulting from:
- Use or inability to use the Platform.
- Interruptions, errors, or delays in Platform operations.
- Unauthorized access to your data or account.
Tropecart’s total liability in all cases is limited to the amount paid by the Customer for the specific purchase in question.
7. Dispute Resolution and Governing Law
7.1 Dispute Resolution
In the event of any dispute between a Customer and Tropecart, both parties agree to attempt resolution through informal means first. If informal attempts fail, disputes may be resolved through binding arbitration in Trinidad and Tobago, conducted by a neutral arbitrator.
7.2 Governing Law
These Terms and any disputes related to Tropecart shall be governed by the laws of the state of Trinidad and Tobago.
8. Amendments and Changes
8.1 Changes to Terms
Tropecart reserves the right to amend these Terms as needed. Changes will be communicated to Customers via email or notification on the Platform, and continued use of Tropecart after such changes constitutes acceptance of the revised Terms.
Acceptance of Terms
By using Tropecart, you acknowledge that you have read, understood, and agreed to these Terms of Use. If you do not agree with these Terms, please discontinue your use of Tropecart.
Vendor Agreement for Tropecart.com
Effective Date: November 2024
Parties Involved:
- Tropecart.com, referred to as “Tropecart” or “the Platform.”
- Vendor (legal name), referred to as “Vendor” or “Seller.”
Purpose: This agreement governs the relationship between Tropecart and Vendors listing both physical and digital products on the Platform. Vendors agree to the terms and conditions outlined below to sell products, including digital items, music, art, and other intellectual property (IP)-related products, on Tropecart.
1. Approved and Prohibited Products
1.1 Approved Products
Vendors may sell the following categories of products on Tropecart, provided they meet the Platform’s standards and comply with applicable laws:
- Physical Goods: Apparel, electronics, home goods, personal care products, toys, books, accessories, pet supplies, and other general merchandise.
- Digital Products: E-books, courses, downloadable art, design templates, photography, and licensed digital files.
- Creative Works: Music, artwork, and other licensed digital media, provided proper copyright and licensing permissions are in place.
- Licensed Collectibles: Collectibles with verified licensing rights.
1.2 Prohibited Products
Vendors are strictly prohibited from selling the following items on Tropecart:
- Illegal or Restricted Items: Any item deemed illegal under the laws of Trinidad and Tobago or international laws, including illicit drugs, unlicensed pharmaceuticals, and narcotics.
- Adult Content: Explicit content or adult-themed products, including pornography or adult toys.
- Weapons and Hazardous Items: Firearms, ammunition, explosives, knives, or other weapons; hazardous chemicals and substances.
- Unlicensed Media: Pirated, unlicensed, or infringing copies of music, videos, software, or any digital content.
- Counterfeit Goods: Replicas or knock-off items that infringe on trademarks, copyrights, or patents.
- Personal Identification or Financial Documents: Any item containing personal, financial, or identification details of any person.
- Animal Products and Live Animals: Illegal animal products, endangered species, or any live animals.
- Medical Devices and Healthcare Products: Items that require regulatory approvals unless properly licensed.
- Offensive Materials: Items that promote hate speech, violence, or discrimination.
Note: Tropecart reserves the right to amend this list as needed. Vendors should consult Tropecart’s Vendor Guidelines for the latest approved and prohibited products.
2. Vendor Responsibilities
2.1 Product Listings
Vendors must ensure all product listings are accurate, comply with Tropecart’s standards, and do not infringe on any intellectual property rights. Listings should include clear descriptions, accurate prices, complete specifications, and applicable licensing or usage terms for digital products, music, art, or other IP-related items.
2.2 Inventory and Licensing Management
- Physical Products: Vendors are responsible for maintaining sufficient inventory and meeting demand.
- Digital Products, Music, Art, and IP-Related Items: Vendors must provide valid, non-infringing files or content and are responsible for ensuring that proper licensing or permissions are in place for every product listed. This includes authorization to sell, distribute, or license digital items or copyrighted materials.
2.3 Order Fulfillment
For physical products, Vendors are expected to fulfill orders and ship within the stated delivery window. For digital products, Vendors must ensure files are accessible immediately or within a specified timeframe post-purchase.
3. Commissions and Fees
3.1 Commission Fee
Tropecart charges a 10% commission on each sale, deducted from the sale price (excluding shipping fees for physical items). Commissions are subject to review and may be adjusted with 30 days’ notice.
3.2 Payout Schedule
Payments are processed twice per month (on the 15th and 30th of each month) for completed sales minus Tropecart’s commission and any applicable fees.
3.3 Checkout and Payment Processing Fees
Vendors are responsible for checkout processing fees, which are set at [insert rate, e.g., 3%]. Payment processing fees are automatically deducted from payouts.
3.4 Refunds and Returns
- Physical Products: Vendors are responsible for handling returns according to Tropecart’s Returns Policy.
- Digital Products, Music, Art, and IP-Related Items: Due to the nature of digital items, refunds are generally not issued unless the file or access provided is defective. Vendors must cooperate with Tropecart’s customer support to resolve any disputes or issues related to digital content.
4. Pricing and Promotions
4.1 Pricing Compliance
Vendors set their product prices but must remain compliant with Tropecart’s price-matching policy (if applicable) to avoid inflating prices beyond fair market value.
4.2 Discounts and Promotions
Tropecart may initiate discounts or promotions. Vendors may also propose promotions, but approval from Tropecart is required.
5. Conflict Resolution
5.1 Dispute Management
In case of disputes with customers, Vendors must cooperate with Tropecart’s Customer Service team to resolve issues in a timely manner, including any disputes over digital content, licensing, or IP-related items.
5.2 Arbitration Clause
If a dispute arises between the Vendor and Tropecart that cannot be resolved informally, both parties agree to submit to binding arbitration, conducted by a neutral arbitrator, in Trinidad and Tobago.
5.3 Governing Law
This agreement is governed by the laws of the state of Trinidad and Tobago.
6. Compliance and Conduct
6.1 Vendor Code of Conduct
Vendors must comply with Tropecart’s Code of Conduct, which includes ethical business practices, respectful communication, and avoidance of any behavior that could harm Tropecart’s reputation or customer trust.
6.2 Privacy and Data Protection
Vendors must handle customer information responsibly, in compliance with Tropecart’s Privacy Policy and applicable laws, including GDPR if applicable.
6.3 Intellectual Property and Licensing
Vendors offering digital products, music, art, or IP-related items must comply with copyright laws and provide legitimate licenses for any content requiring IP protection. Tropecart reserves the right to remove content that infringes on third-party rights and to suspend or terminate accounts in cases of repeated infringement.
7. Intellectual Property and Trademarks
7.1 Ownership of Content
Vendors retain ownership of their product content but grant Tropecart a non-exclusive license to display listings on the Platform. For digital, music, or art products, Vendors must provide necessary usage rights for Tropecart to display and distribute products according to the sale terms.
7.2 Trademark and Copyright Compliance
Vendors must ensure all product images, descriptions, and other materials are free of any trademark or copyright infringement. Vendors are responsible for obtaining appropriate permissions or licenses before listing copyrighted material, such as music or art, and may be required to prove ownership or licensing upon request.
8. Limitations and Liability
8.1 Platform Availability
Tropecart provides its services “as is” and does not guarantee the Platform will be error-free or continuously available.
8.2 Vendor Liability
Vendors are solely responsible for their listings, products, and the legal compliance of the items they sell. Tropecart is not liable for any harm caused by Vendors’ products, inaccurate listings, or any failure to fulfill orders.
8.3 Legal Compliance and Indemnification
Vendors agree to indemnify and hold harmless Tropecart from any claims, damages, losses, or liabilities arising from Vendor’s activities, including, but not limited to, customer claims, IP-related disputes, or legal challenges resulting from the sale, listing, or distribution of their products on the Platform. Vendors are fully responsible for defending against any legal actions related to their products and for any associated costs, liabilities, or judgments.
9. Termination and Suspension
9.1 Voluntary Termination
Vendors may terminate their contract with Tropecart at any time by providing 30 days’ written notice. Upon termination, all active listings will be removed, and final payouts processed according to the next payout schedule.
9.2 Involuntary Termination
Tropecart reserves the right to suspend or terminate any Vendor’s account for violations of this agreement, including fraudulent activity, product quality complaints, IP infringement, or non-compliance with Platform policies.
10. Amendments
10.1 Changes to Terms
Tropecart may amend this agreement as needed. Changes will be communicated to Vendors via email or Platform notification, and continued use of the Platform constitutes acceptance of the revised terms.
Acceptance of Terms and Conditions
By selecting the option to accept our Terms and Conditions, you as the Vendor acknowledge understanding and acceptance of these terms and agree to comply with Tropecart’s policies. This selection of acceptance shall serve as your electronic agreement to be legally bound by the terms herein.
